1. Agreement to Terms & Binding Arbitration Notice
Welcome to Lonare.com. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "user," or "Customer"), and Lonare.com concerning your access to and use of the website located at https://lonare.com, as well as any other media form, media channel, mobile website, API, white-label product, software-as-a-service (SaaS) application, or software solution linked, connected, or otherwise associated therewith (collectively, the "Services").
PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.
IMPORTANT NOTICE: BY ACCESSING, BROWSING, REGISTERING FOR, OR USING LONARE.COM, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THESE TERMS. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
2. Eligibility & Capacity
By using the Services, you represent and warrant that:
You are at least 18 years of age or the age of legal majority in your jurisdiction.
You possess the legal capacity and authority to enter into a binding contract with Lonare.com.
If you are accessing or using the Services on behalf of a company, agency, enterprise, or legal entity, you represent and warrant that you have full legal authority to bind that entity to these Terms.
You are not located in a country subject to UK, US, or EU government embargo, or designated as a "terrorist supporting" country.
You are not listed on any UK, US, or EU government list of prohibited or restricted parties.
3. Scope of Services & Account Registration
3.1 Account Creation
To access certain features, AI applications, software platforms, or administrative dashboards, you may be required to register an account with Lonare.com. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are solely responsible for safeguarding your account access credentials, API keys, and passwords. You agree not to disclose your credentials to any third party. You assume full responsibility for any and all activities or actions conducted under your account, whether or not you have authorized such activities. You must notify Lonare.com immediately upon becoming aware of any breach of security or unauthorized use of your account.
3.3 Account Suspension & Termination
Lonare.com reserves the right, in its sole and absolute discretion, to suspend, disable, or terminate your account or refuse current or future use of the Services at any time, with or without cause, and without prior notice or liability.
4. Acceptable Use & Prohibited Activities
You may use the Services only for lawful business purposes and in strict accordance with these Terms. You agree NOT to engage in any of the following prohibited activities:
Illegal Use: Using the Services for any unlawful purpose or in violation of local, state, national, or international law, rule, or regulation.
System Abuse & Scraping: Crawling, scraping, data mining, or harvesting data from Lonare.com using automated software, bots, spiders, or scripts without prior written consent.
Security Interference: Attempting to probe, scan, or test the vulnerability of any Lonare.com system or network, or breaching or circumventing any security or authentication measures.
Malicious Software: Uploading, transmitting, or distributing viruses, worms, Trojan horses, spyware, ransomware, or any other computer code designed to disrupt, damage, or limit the functioning of software or hardware.
Reverse Engineering: Decompiling, reverse engineering, disassembling, or attempting to derive the source code, underlying structure, ideas, or algorithms of any software or AI model provided by Lonare.com.
Misrepresentation & Impersonation: Impersonating or attempting to impersonate Lonare.com, a Lonare.com employee, another user, or any other person or entity.
Infrastructure Overload: Imposing an unreasonable or disproportionately large load on Lonare.com infrastructure, or sending excessive automated API queries designed to cause denial of service (DoS).
5. Intellectual Property Rights & Ownership
5.1 Lonare.com Ownership
The Services and their entire contents, features, functionality, software code, algorithms, database designs, user interface layouts, text, graphics, logos, trademarks, and branding assets are owned by Lonare.com, its licensors, or other providers of such material, and are protected by United Kingdom, United States, European, and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
5.2 Limited License to You
Subject to your full compliance with these Terms and payment of applicable fees, Lonare.com grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business operations.
5.3 User Feedback
If you provide Lonare.com with any feedback, suggestions, enhancements, or feature requests, you hereby grant Lonare.com an exclusive, royalty-free, worldwide, perpetual, irrevocable, and fully transferable right and license to use, incorporate, modify, and commercialize such feedback without restriction or attribution.
6. Customer Data & AI Processing Terms
6.1 Ownership of User Inputs & Generated Outputs
As between you and Lonare.com, you retain all right, title, and interest in and to any data, text, files, prompts, images, or assets you upload or input into the Services ("User Inputs"). Subject to your compliance with these Terms, Lonare.com transfers to you all its rights, title, and interest in and to the specific text, analytics, or media produced by our AI systems in response to your inputs ("Generated Outputs").
6.2 License to Process User Inputs
You grant Lonare.com a worldwide, non-exclusive, royalty-free license to host, store, execute, process, transmit, and reproduce your User Inputs solely to the extent necessary to provide, maintain, secure, and troubleshoot the Services.
6.3 AI Reliability & Hallucinations
You acknowledge and agree that Artificial Intelligence (AI) platforms and machine-learning models process automated statistical predictions.
AI Output Notice: Generated Outputs may occasionally contain inaccurate, incomplete, misleading, or offensive information ("hallucinations"). Lonare.com does not warrant, verify, or guarantee the accuracy, truthfulness, legality, or utility of any Generated Output. You assume full legal responsibility for reviewing, fact-checking, and verifying all Generated Outputs before relying on or publishing them.
7. Subscriptions, Billing, Payment & Free Trials
7.1 Fees & Billing Cycle
Certain Services are offered on a recurring subscription basis or pay-as-you-go model. You agree to pay all applicable fees associated with your selected tier. Subscriptions are billed in advance on a monthly or annual basis depending on your selection.
7.2 Automatic Renewal
UNLESS YOU CANCEL YOUR SUBSCRIPTION BEFORE THE END OF THE APPLICABLE BILLING PERIOD, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW, AND YOU AUTHORIZE LONARE.COM TO CHARGE THE APPLICABLE SUBSCRIPTION FEE TO YOUR STORED PAYMENT METHOD.
7.3 No Refunds
ALL FEES AND PAYMENT OBLIGATIONS ARE NON-REFUNDABLE. Lonare.com does not provide refunds, credits, or prorated billing for partial months, unused service tokens, tier downgrades, or early account terminations.
7.4 Price Adjustments
Lonare.com reserves the right to modify subscription pricing at any time. Any price changes will become effective following a 30-day notice delivered via email or posted within your platform administrative dashboard.
8. Service Level Agreement (SLA) & Uptime Disclaimer
8.1 No SLA Guarantee
Unless explicitly agreed to in a separate, signed Enterprise Level Agreement, Lonare.com provides the Services on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee uninterrupted, error-free, continuous system availability, or 100% uptime.
8.2 Maintenance & Outages
Lonare.com reserves the right to suspend or restrict access to the Services periodically to perform scheduled maintenance, critical software patches, system upgrades, or emergency infrastructure repairs. Lonare.com shall not be held liable for any loss, damage, or inconvenience resulting from operational downtime.
9. Total Legal Disclaimer of Warranties
FULL DISCLAIMER OF WARRANTIES: TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, LONARE.COM PROVIDES THE SERVICES, SOFTWARE, AI PLATFORMS, AND WEBSITE ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
LONARE.COM EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:
ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
ANY WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE, FREE OF ERRORS, OR FREE OF MALICIOUS CODE.
ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR LEGAL COMPLIANCE OF ANY AI GENERATED OUTPUTS.
10. Complete Limitation of Liability
TOTAL LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LONARE.COM, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, LICENSORS, OR SOFTWARE ENGINEERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER.
THIS LIMITATION INCLUDES, WITHOUT LIMITATION:
LOSS OF PROFITS, LOSS OF REVENUE, OR LOSS OF SAVINGS;
LOSS OF GOODWILL, BUSINESS REPUTATION, OR CLIENT CONTRACTS;
LOSS OF DATA, SYSTEM INTERRUPTION, OR COMPUTER FAILURE;
COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;
ANY ACCURACY FAILURES IN AI-GENERATED CONTENT OR TECHNICAL OUTPUTS.
10.1 Aggregate Monetary Cap
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF LONARE.COM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF:
THE TOTAL AMOUNT PAID BY YOU TO LONARE.COM IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
ONE HUNDRED BRITISH POUNDS (£100.00 GBP).
11. Indemnification & Hold Harmless
You agree to defend, indemnify, and hold harmless Lonare.com, its corporate parent, subsidiaries, affiliates, officers, directors, employees, agents, software engineers, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable lawyers' and legal fees) arising out of or relating to:
Your violation or breach of these Terms or any applicable law;
Your User Inputs, content, or materials uploaded to Lonare.com;
Your reliance upon, publication of, or commercial deployment of AI Generated Outputs;
Any unauthorized access to or misuse of your account or credentials;
Any direct dispute between you and your end-clients, users, or customers.
12. Governing Law & Dispute Resolution
12.1 Governing Law
These Terms, their subject matter, and their formation (and any non-contractual disputes or claims) shall be governed by, construed, and enforced in accordance with the laws of England and Wales, without giving effect to any choice or conflict of law provision.
12.2 Mandatory Informal Resolution
Before initiating formal legal proceedings, you and Lonare.com agree to make a good-faith attempt to resolve any dispute, controversy, or claim informally. Informal negotiation must be initiated by written notice sent to legal@lonare.com. If the dispute is not resolved within sixty (60) days of receipt of notice, either party may commence formal proceedings.
12.3 Jurisdiction & Venue
You and Lonare.com irrevocably agree that the courts of London, England shall have exclusive jurisdiction to settle any dispute, claim, or controversy arising out of or in connection with these Terms or the Services.
13. Severability, Entire Agreement & Waiver
13.1 Severability
If any provision or part-provision of these Terms is found by a court or administrative body of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be severed, and the remaining provisions shall continue in full force and effect.
13.2 Entire Agreement
These Terms, alongside our Privacy Policy and any applicable Data Processing Addendum (DPA), constitute the sole and entire agreement between you and Lonare.com regarding the Services, superseding all prior and contemporaneous understandings, representations, warranties, and agreements, whether written or oral.
13.3 No Waiver
No waiver by Lonare.com of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Lonare.com to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
14. Changes to Terms of Service
Lonare.com reserves the right to modify, amend, or replace these Terms at any time in its sole discretion.
When changes are made:
We will update the "Last Updated" date at the top of these Terms.
We may provide additional notice (such as an email notification or prominent dashboard pop-up banner) in the event of material revisions.
Your continued access to or use of the Services following the posting of updated Terms constitutes your full binding acceptance of all changes.
